Terms of Service

1. Use of Service

TradePath HQ provides a cloud-based ERP platform for CPG brokers. You are responsible for maintaining the security of your account and for all activities that occur under your account.

2. Data Ownership

You retain all rights and ownership of the data you upload or enter into TradePath HQ. We claim no ownership over your business records.

3. Fees & Payments

You agree to pay the fees associated with your chosen plan level. Fees are billed based on a base seat plus discounted incremental seats as defined on our Pricing page, and are non-refundable except as required by law or as specified in your agreement.

4. Service Availability & Disclaimer

TradePath HQ IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. YOU ACKNOWLEDGE THAT SERVICE INTERRUPTIONS MAY OCCUR DUE TO NORMAL TECHNICAL ISSUES, INTERNET VOLATILITY, FAILED DEPLOYMENTS, ROUTINE MAINTENANCE, OR FACTORS BEYOND OUR CONTROL.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEPATH HQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WE ARE NOT LIABLE FOR DATA CORRUPTION, DATA LOSS, OR UNAUTHORIZED ACCESS TO YOUR DATA RESULTING FROM CYBERATTACKS, HACKERS, OR THIRD-PARTY EXPLOITS. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TRADEPATH HQ IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE CLAIM.

6. Termination

You may cancel your account at any time. Upon termination, we will provide a full export of your data in a standard format upon request.
